CRITICAL SAFETY NOTICE

MenuIQ uses artificial intelligence to identify potential allergens in restaurant menus. AI-generated allergen tags may be inaccurate, incomplete, or wrong. MenuIQ is not a medical device and is not a substitute for professional food safety judgment. As a Restaurant Operator, you are solely responsible for reviewing, correcting, and certifying the accuracy of all Allergen Information before it is published to Consumers. See Sections 4 and 5 for complete details.

1. Acceptance of Terms

These Restaurant Operator Terms of Service ("Terms") constitute a legally binding agreement between MenuIQ, LLC, a Delaware limited liability company ("MenuIQ," "we," "us," or "our"), and the business or individual identified in the applicable Order Form ("Restaurant Operator," "you," or "your"). These Terms govern your access to and use of the MenuIQ platform, dashboard, QR code generation tools, and related services for restaurant menu publication (collectively, the "Service").

By creating an account, checking the box to accept these Terms, or submitting an Order Form, you agree to be bound by these Terms and our Privacy Policy [ADD PRIVACY POLICY LINK]. If you are accessing the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not create an account or use the Service.

These Terms apply solely to Restaurant Operators. Consumers who view published menus or use the MenuIQ AI App are governed by MenuIQ's separate Consumer Terms of Service [ADD CONSUMER TERMS LINK].

2. Definitions

"Account" means the MenuIQ dashboard account created by Restaurant Operator to manage one or more Locations.

"Allergen Information" means any information about potential allergens in food items, whether generated by MenuIQ's AI system or entered, edited, or approved by Restaurant Operator.

"AI Output" means any content generated by MenuIQ's artificial intelligence systems, including allergen tags, allergen identification results, menu analysis, translations, and dish descriptions.

"Consumer" means any individual who browses published restaurant menus or uses the MenuIQ AI App. Consumers do not create Accounts under these Terms.

"Location" means an individual restaurant address or storefront for which Restaurant Operator publishes a menu through the Service.

"Order Form" means the order confirmation document (delivered by email and available for download in Restaurant Operator's Account) that sets out the subscription plan, fees, billing interval, and Locations covered under these Terms.

"QR Code" means the unique scannable code generated by the Service for each Location, which directs Consumers to that Location's published menu and Allergen Information.

"Service" means the MenuIQ platform, dashboard, QR Code generation tools, AI allergen identification and analysis tools, and all related services made available to Restaurant Operators.

"Triple Gate" refers to the three-step process by which menu content becomes publicly available: (1) AI scans and tags potential allergens; (2) Restaurant Operator reviews, verifies, and edits all content and Allergen Information; (3) Restaurant Operator submits payment to activate the menu, certifying its accuracy.

3. Platform Description and Limitations

3.1 What MenuIQ Is

MenuIQ provides tools that allow Restaurant Operators to upload menu items for one or more Locations, receive AI-generated allergen suggestions, review and edit those suggestions for accuracy, generate a QR Code for each Location, and publish digital menus for Consumers to access by scanning that QR Code. MenuIQ is a tool provider. Restaurant Operator is the content publisher. MenuIQ’s provision of tools that suggest, generate, or refine Allergen Information does not constitute authorship of, editorial control over, or endorsement of that content.

3.2 What MenuIQ Is Not

MenuIQ is not an ordering platform, a delivery service, a food safety inspector, a medical device, or a healthcare provider. MenuIQ does not prepare, serve, or sell food. MenuIQ does not verify, endorse, or guarantee the accuracy of any menu content or Allergen Information. MenuIQ does not provide medical, nutritional, dietary, or food safety advice.

3.3 AI Limitations

MenuIQ’s AI system analyzes menu text and images to identify potential allergens. This technology is inherently limited. AI Output may contain errors, omissions, or inaccuracies; may fail to identify allergens present in a dish (false negatives); may incorrectly flag allergens that are not present (false positives); cannot detect cross-contamination from shared cooking equipment or kitchen environments; cannot detect hidden or unlisted ingredients; cannot account for variations in how a Location prepares dishes; and relies on incomplete data, since menus routinely omit ingredients, cooking methods, and preparation details.

AI Output is a starting point, never a definitive or exhaustive statement of what a dish contains or does not contain, and never a substitute for professional food safety judgment. AI Output does not represent MenuIQ’s advice, opinion, or endorsement.

3.4 Third-Party AI Services

The Service's artificial intelligence functionality, including the identification of potential
allergens described in this Section 3 and Section 4.2, is powered in part by third-party artificial
intelligence models and services that MenuIQ does not own, develop, or control (each, a "Third-
Party AI Provider
"). MenuIQ may add, remove, or change its Third-Party AI Providers, or the
underlying models used to provide the Service, at any time without notice.

Restaurant Operator acknowledges that: (a) AI Output is generated using technology licensed
from Third-Party AI Providers, and MenuIQ does not control, and disclaims all responsibility for,
the underlying design, training, operation, or output of any Third-Party AI Provider's models; (b)
Restaurant Operator's use of the Service is subject to any applicable acceptable use or safety
policies of MenuIQ's Third-Party AI Providers, to the extent those policies restrict the manner in
which the Service's AI features may be used; and (c) MenuIQ's arrangements with its Third-Party
AI Providers, including the specific licenses or subscription tiers used to provide the Service,
may change over time and are not warranted to remain the same throughout the term of these
Terms.

Nothing in this Section 3.4 limits or reduces MenuIQ's obligations, disclaimers, or the allocation
of responsibility for Allergen Information set out elsewhere in these Terms, including in Sections
3.3, 4.2, 4.3, 5, and 6.1.

4. Restaurant Operator Accounts and Responsibilities

4.1 Account Registration

To use the Service, you must create an Account. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update that information. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account, including activities across multiple Locations managed under a single Account.

4.2 AI Allergen Identification Tool – Limitations and Mandatory Human Review

The Service uses artificial intelligence to scan menu item descriptions and identify potential allergens. AI-generated allergen tags are suggestions only and may contain errors, omissions, or inaccuracies. The AI may fail to identify allergens present in complex spice blends, sauces, cross-contamination scenarios, or ingredients not apparent from the menu description.

Restaurant Operator acknowledges and agrees that: 

  • AI Output is advisory only and does not constitute a verified, guaranteed, or complete assessment of allergens in any dish, and is not a substitute for professional food-safety judgment or advice; 

  • the AI system may miss allergens, incorrectly identify allergens, or fail to detect cross-contamination risks; 

  • AI tagging does not replace professional food safety knowledge, direct ingredient verification, or compliance with applicable federal, state, and local allergen disclosure laws; 

  • Restaurant Operator will engage in human review of all AI Output before it is published for each Location, and is solely responsible for any AI Output it reviews, edits, and publishes (this is Gate 2 of the Triple Gate); and 

  • Restaurant Operator must not represent to Consumers that Allergen Information has been "verified by AI" or use any language suggesting AI guarantees accuracy.

4.3 Content Accuracy and Verification Obligation

Restaurant Operator is solely responsible for reviewing, verifying, correcting, and approving all menu content and Allergen Information for each Location before activation. This obligation is non-delegable and applies separately to each Location under Restaurant Operator's Account. The Service provides editing tools for this purpose.

Restaurant Operator represents and warrants that: 

  • all menu content uploaded to the Service for each Location is accurate and current; 

  • a person with direct knowledge of that Location's ingredients, recipes, and preparation methods has reviewed all Allergen Information before activation; 

  • Restaurant Operator will promptly update menu content and Allergen Information for each Location when ingredients, recipes, suppliers, or preparation methods change; 

  • Restaurant Operator maintains its own independent allergen management practices at each Location and does not rely solely on the Service for allergen communication with Consumers; and 

  • Restaurant Operator complies with all applicable federal, state, and local food safety and allergen disclosure laws applicable to each Location, including, where applicable, California SB 68 (the Food Allergy Disclosure and Dining Experience Act).

4.4 Payment as Certification of Menu Accuracy

By submitting payment to activate a menu for a Location, Restaurant Operator certifies that: (a) all menu content and Allergen Information for that Location has been reviewed for accuracy by a person with direct knowledge of that Location's ingredients and preparation methods; (b) Restaurant Operator accepts full responsibility for the accuracy of all published menu content for that Location, including Allergen Information; (c) Restaurant Operator understands that AI-generated Allergen Information is advisory only and does not constitute a guarantee of accuracy or completeness; and (d) Restaurant Operator has made all necessary corrections to AI-generated suggestions based on that Location's actual ingredients and preparation methods.

This certification is renewed each time Restaurant Operator submits payment for a new subscription period or activates updated menu content for any Location.

4.5 Indemnification

Restaurant Operator agrees to indemnify, defend, and hold harmless MenuIQ, its members, managers, officers, employees, and agents from and against all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: inaccurate, incomplete, or misleading menu content or Allergen Information published by Restaurant Operator through the Service for any Location; any AI Output that Restaurant Operator reviews, edits, publishes, or distributes, including its failure to review, verify, or correct AI-generated Allergen Information before activation; any allergic reaction, illness, injury, or death arising from a Consumer's reliance on Allergen Information published by Restaurant Operator through the Service; Restaurant Operator's failure to comply with applicable food safety, allergen disclosure, or consumer protection laws; any third-party claims related to Restaurant Operator's food products, ingredients, preparation methods, or service at any Location; and Restaurant Operator's breach of the representations and warranties in these Terms.

4.6 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENUIQ'S TOTAL AGGREGATE LIABILITY TO RESTAURANT OPERATOR FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) FIVE HUNDED DOLLARS ($500) OR (B) THE TOTAL AMOUNT PAID BY RESTAURANT OPERATOR TO MENUIQ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

IN NO EVENT SHALL MENUIQ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF MENUIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THESE LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REFLECT A REASONABLE ALLOCATION OF RISK THAT IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, MENUIQ'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

4.7 Service Availability

MenuIQ will use commercially reasonable efforts to make the Service available, but does not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, or events outside MenuIQ's reasonable control. MenuIQ does not commit to any specific uptime percentage under these Terms.

4.8 Subscriptions, Auto-Renewal, and Cancellation

Restaurant Operator subscriptions are described in the applicable Order Form and billed through Stripe at the price and billing interval (monthly or annual) presented at the time of purchase and confirmed in the Order Form. Subscriptions automatically renew for successive periods of the same length unless cancelled before the end of the then-current period. You may cancel at any time in your Account settings; cancellation takes effect at the end of the current billing period, and published menus for the affected Location(s) are taken offline when the subscription for that Location expires. Fees are non-refundable except where required by law. We will give advance notice of any price change before it takes effect, consistent with applicable automatic-renewal laws.

4.9 Adding or Removing Locations

Restaurant Operator may add additional Locations to its Account subject to MenuIQ's then-current per-Location pricing, which will be reflected in an updated or supplemental Order Form. Removing a Location from an Account takes effect at the end of the then-current billing period for that Location.

5. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL CONTENT, ALLERGEN INFORMATION, AI OUTPUT, AND RELATED MATERIALS, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MENUIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AND NONINFRINGEMENT.

MENUIQ DOES NOT WARRANT THAT: (A) ALLERGEN INFORMATION WILL BE ACCURATE, COMPLETE, OR FREE FROM ERRORS; (B) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (C) ANY DEFECTS WILL BE CORRECTED; (D) THE SERVICE WILL MEET RESTAURANT OPERATOR'S REQUIREMENTS OR EXPECTATIONS; OR (E) AI OUTPUT WILL CORRECTLY IDENTIFY ALL ALLERGENS IN ANY DISH.

6. Intellectual Property

6.1 MenuIQ's Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, logos, and code, is owned by MenuIQ and protected by intellectual property laws. Nothing in these Terms grants Restaurant Operator any right to MenuIQ's intellectual property except the limited license to use the Service as described here.

6.2 Restaurant Operator Content

Restaurant Operator retains ownership of its menu content for each Location. By uploading content, Restaurant Operator grants MenuIQ a non-exclusive, royalty-free license to use, display, reproduce, and distribute that content through the Service for the duration of the applicable subscription. This license terminates when the subscription for the relevant Location ends, except that MenuIQ may retain anonymized or aggregated data derived from menu content to improve the Service.

6.3 QR Codes

MenuIQ grants Restaurant Operator a non-exclusive, non-transferable license to display and use the QR Code generated for each active Location solely to direct Consumers to that Location's published menu. This license terminates when the subscription for that Location ends, at which point Restaurant Operator must cease displaying the associated QR Code.

6.4 QR Code Landing Page License

Restaurant Operator grants MenuIQ a non-exclusive, royalty-free, worldwide license to display
Restaurant Operator's name, trade name, logo, and other trademarks or branding associated with a
Location ("Location Marks") solely on the web page that a Consumer reaches by scanning that
Location's QR Code, for the sole purpose of identifying the Location and presenting its published
menu and Allergen Information. This license does not extend to any other use, including
MenuIQ's marketing materials, the MenuIQ AI App's restaurant discovery or directory features, or any other page or promotional context.

Restaurant Operator represents and warrants that it owns or has the necessary rights to grant this
license in the Location Marks it provides or makes available to MenuIQ. This license terminates
automatically when the subscription for the relevant Location ends, at which point MenuIQ will
cease displaying that Location's Location Marks on the associated QR Code landing page.

7. Prohibited Uses

Restaurant Operator agrees not to: upload false, misleading, or fraudulent menu information; attempt to reverse engineer, decompile, or access the source code of the Service; use automated tools to scrape, harvest, or extract data from the Service; interfere with or disrupt the Service or its infrastructure; use the Service for any unlawful purpose or in violation of any applicable law; resell, redistribute, or commercially exploit the Service without MenuIQ's written permission; or represent to any third party that AI Output or Allergen Information is verified, guaranteed, or a substitute for direct communication with restaurant staff.

8. Dispute Resolution and Arbitration

READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

8.1 Informal Resolution

Before initiating any formal dispute, Restaurant Operator and MenuIQ agree to contact each other and attempt to resolve the dispute informally for at least sixty (60) days. Restaurant Operator should send notice to support@menuiq.ai.

8.2 Binding Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, unless Restaurant Operator's principal place of business is located more than 200 miles from Wilmington, Delaware, in which case the arbitration shall be conducted remotely by video conference unless both parties agree otherwise. Each party shall bear its own attorneys' fees; arbitrator fees and AAA administrative fees shall be allocated according to the AAA Commercial Arbitration Rules then in effect, provided that MenuIQ will pay any portion of such fees that would render this arbitration provision unenforceable under applicable law. The proceedings and any award shall be confidential.

8.3 Class Action Waiver

RESTAURANT OPERATOR AND MENUIQ AGREE THAT ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. NEITHER PARTY MAY BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim. If this class action waiver is found unenforceable, the entire arbitration provision shall be void.

8.4 Exceptions

Either party may bring claims in small claims court if the claim qualifies. Either party may seek injunctive or equitable relief in court to protect intellectual property rights or to prevent unauthorized use of the Service.

8.5 Jury Trial Waiver

For any disputes not subject to arbitration, RESTAURANT OPERATOR AND MENUIQ WAIVE ANY RIGHT TO A JURY TRIAL.

9. Termination

9.1 By Restaurant Operator

Restaurant Operator may cancel its subscription for any or all Locations at any time through Account settings. Cancellation takes effect at the end of the current billing period for the affected Location(s). Published menus for cancelled Locations will be taken offline upon cancellation.

9.2 By MenuIQ

MenuIQ may suspend or terminate Restaurant Operator's access to the Service, in whole or as to any Location, immediately for violation of these Terms, fraudulent activity, non-payment, or at MenuIQ's sole discretion with reasonable notice. Upon termination, all rights granted under these Terms cease immediately.

9.3 Survival

Sections 2, 3.2, 3.3, 4.2 through 4.7, 5, 6, 7, 8, 9.3 and 10 survive termination.

10. General Provisions

10.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

10.2 Jurisdiction

For disputes not subject to arbitration, Restaurant Operator consents to the exclusive jurisdiction of the state and federal courts located in Delaware.

10.3 Order of Precedence

These Terms, together with the applicable Order Form and MenuIQ's Privacy Policy, constitute the entire agreement between Restaurant Operator and MenuIQ regarding the Service. In the event of a conflict between these Terms and an Order Form, the Order Form controls solely as to fees, billing interval, and the Locations covered; these Terms control as to all other matters.

10.4 Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed. The remaining provisions remain in full force and effect.

10.5 Amendments

MenuIQ may update these Terms from time to time. For material changes, MenuIQ will provide at least thirty (30) days' notice by email to the address associated with Restaurant Operator's Account. Continued use of the Service after the effective date constitutes acceptance. If Restaurant Operator does not agree to updated Terms, it must stop using the Service.

10.6 Assignment

Restaurant Operator may not assign these Terms without MenuIQ's written consent. MenuIQ may assign these Terms to any affiliate, successor, or acquirer of its business.

10.7 No Waiver

MenuIQ's failure to enforce any provision does not constitute a waiver of that provision or any other provision.

10.8 Statute of Limitations

Any claim arising from these Terms or the Service must be filed within one (1) year after the claim arose, or it is permanently barred.
