MenuIQ, LLC — A Delaware Limited Liability Company

CRITICAL SAFETY NOTICE

MenuIQ uses artificial intelligence to identify potential allergens in restaurant menus. AI-generated allergen information may be inaccurate, incomplete, or wrong. MenuIQ is not a medical device and is not a substitute for professional medical or dietary advice. If you have food allergies or sensitivities, you must always confirm allergen information directly with the restaurant before ordering or consuming any food. See Sections 4 and 5 for complete details.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MenuIQ, LLC, a Delaware limited liability company ("MenuIQ," "we," "us," or "our"). By accessing or using the MenuIQ platform, website, mobile application, or any related services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not access or use the Service.

If you are accessing the Service on behalf of a business or organization ("Restaurant Operator"), you represent that you have the authority to bind that entity to these Terms.

2. Definitions

"Allergen Information" means any information about potential allergens in food items, whether generated by our AI system, entered or edited by a Restaurant Operator, or displayed to Consumers through the Service.

"AI Output" means any content generated by MenuIQ's artificial intelligence systems, including allergen tags, allergen identification results, and menu analysis.

"Consumer" means any individual who browses published restaurant menus on the Service or uses the Scanner Feature to analyze menus. Consumers do not create accounts on the restaurant platform and do not transact through the Service.

"Restaurant Operator" means any business entity or individual that creates an account on the Service to upload, manage, and publish restaurant menu content.

"Scanner Feature" means the mobile application feature that allows Consumers to scan, photograph, or upload restaurant menus for AI-powered allergen analysis.

"Service" means the MenuIQ platform, website, mobile applications, AI allergen identification tools, and all related services.

"Triple Gate" refers to the three-step process by which menu content becomes publicly available: (1) AI scans and tags potential allergens; (2) Restaurant Operator reviews, verifies, and edits all content and Allergen Information; (3) Restaurant Operator submits payment to activate the menu, certifying its accuracy.

3. Platform Description and Limitations

3.1 What MenuIQ Is

MenuIQ is a digital menu platform that provides AI-powered tools for allergen identification. The Service operates in two ways:

For Restaurant Operators: MenuIQ provides tools that allow restaurants to upload menu items, receive AI-generated allergen suggestions, review and edit those suggestions, and publish digital menus. MenuIQ is a tool provider. Restaurant Operators are the content publishers.

For Consumers: MenuIQ displays published restaurant menus with Allergen Information that has been reviewed and certified by the Restaurant Operator. The Scanner Feature allows Consumers to analyze any menu using AI for informational purposes.

3.2 What MenuIQ Is Not

MenuIQ is not an ordering platform, a payment processor, a delivery service, a food safety inspector, a medical device, or a healthcare provider. MenuIQ does not prepare, serve, or sell food. MenuIQ does not verify, endorse, or guarantee the accuracy of any menu content or Allergen Information. MenuIQ does not provide medical, nutritional, dietary, or food safety advice.

3.3 AI Limitations — All Users

MenuIQ's AI system analyzes menu text and images to identify potential allergens. This technology is inherently limited. AI Output:

  • May contain errors, omissions, or inaccuracies

  • May fail to identify allergens present in a dish (false negatives)

  • May incorrectly flag allergens that are not present (false positives)

  • Cannot detect cross-contamination from shared cooking equipment or kitchen environments

  • Cannot detect hidden or unlisted ingredients

  • Cannot account for variations in how restaurants prepare dishes

  • Cannot verify whether menu descriptions match what a restaurant actually serves

  • Relies on incomplete data, since menus routinely omit ingredients, cooking methods, and preparation details

No two recipes are exactly alike. Ingredients, preparation methods, and cross-contamination risks vary by restaurant, location, chef, supplier, and day. AI cannot account for these variations.

AI Output is a starting point — never a definitive or exhaustive statement of what a dish contains or does not contain.

SECTION A: RESTAURANT OPERATOR TERMS

This section applies to Restaurant Operators who create accounts, upload menus, and publish content through the Service.

4. Restaurant Operator Accounts and Responsibilities

4.1 Account Registration

To use the Service as a Restaurant Operator, you must create an account. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update that information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 AI Allergen Identification Tool — Limitations and Disclaimers

The Service uses artificial intelligence to scan menu item descriptions and identify potential allergens. AI-generated allergen tags are suggestions only and may contain errors, omissions, or inaccuracies. The AI may fail to identify allergens present in complex spice blends, sauces, cross-contamination scenarios, or ingredients not apparent from the menu description.

Restaurant Operator acknowledges and agrees that:

  • AI Output is advisory only and does not constitute a verified, guaranteed, or complete assessment of allergens in any dish

  • The AI system may miss allergens, incorrectly identify allergens, or fail to detect cross-contamination risks

  • AI tagging does not replace professional food safety knowledge, direct ingredient verification, or compliance with applicable federal, state, and local allergen disclosure laws

  • Restaurant Operator must not represent to consumers that Allergen Information has been "verified by AI" or use any language suggesting AI guarantees accuracy

4.3 Content Accuracy and Verification Obligation

Restaurant Operator is solely responsible for reviewing, verifying, correcting, and approving all menu content and Allergen Information before activation. This obligation is non-delegable. The Service provides editing tools for this purpose.

Restaurant Operator represents and warrants that:

  • All menu content uploaded to the Service is accurate and current

  • A person with direct knowledge of the restaurant's ingredients, recipes, and preparation methods has reviewed all Allergen Information before activation

  • Restaurant Operator will promptly update menu content and Allergen Information when ingredients, recipes, suppliers, or preparation methods change

  • Restaurant Operator maintains its own independent allergen management practices and does not rely solely on the Service for allergen communication with consumers

  • Restaurant Operator complies with all applicable federal, state, and local food safety and allergen disclosure laws, including California SB 68 (ADDE Act) where applicable

4.4 Payment as Certification of Menu Accuracy

By submitting payment to activate a menu, Restaurant Operator certifies that:

(a) All menu content and Allergen Information has been reviewed for accuracy by a person with direct knowledge of the restaurant's ingredients and preparation methods;

(b) Restaurant Operator accepts full responsibility for the accuracy of all published menu content, including Allergen Information;

(c) Restaurant Operator understands that AI-generated Allergen Information is advisory only and does not constitute a guarantee of accuracy or completeness;

(d) Restaurant Operator has made all necessary corrections to AI-generated suggestions based on the restaurant's actual ingredients and preparation methods.

This certification is renewed each time Restaurant Operator submits payment for a new subscription period or activates updated menu content.

4.5 Indemnification (Restaurant Operator → MenuIQ)

Restaurant Operator agrees to indemnify, defend, and hold harmless MenuIQ, its members, managers, officers, employees, and agents from and against all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Inaccurate, incomplete, or misleading menu content or Allergen Information published by Restaurant Operator through the Service

  • Restaurant Operator's failure to review, verify, or correct AI-generated Allergen Information before activation

  • Any allergic reaction, illness, injury, or death arising from a consumer's reliance on Allergen Information published by Restaurant Operator through the Service

  • Restaurant Operator's failure to comply with applicable food safety, allergen disclosure, or consumer protection laws

  • Any third-party claims related to Restaurant Operator's food products, ingredients, preparation methods, or service

  • Restaurant Operator's breach of the representations and warranties in these Terms

4.6 Limitation of Liability (Restaurant Operators)

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENUIQ'S TOTAL AGGREGATE LIABILITY TO RESTAURANT OPERATOR FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE TOTAL AMOUNT PAID BY RESTAURANT OPERATOR TO MENUIQ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

IN NO EVENT SHALL MENUIQ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF MENUIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THESE LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REFLECT A REASONABLE ALLOCATION OF RISK THAT IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

SECTION B: CONSUMER TERMS

This section applies to Consumers who browse published restaurant menus or use the Scanner Feature.

5. Consumer Use of the Service

5.1 AI-Generated Information Disclaimer

All Allergen Information provided through the Service — whether on published restaurant menu pages or through the Scanner Feature — is generated or processed by artificial intelligence and may be inaccurate, incomplete, or outdated. This information is intended as a helpful starting point for a conversation with your server or the restaurant, not as a definitive or exhaustive statement of what a dish contains or does not contain.

For published restaurant menus, Allergen Information has been reviewed by the Restaurant Operator before publication. However, MenuIQ does not independently verify the accuracy of Restaurant Operator content and cannot guarantee that the information reflects what a restaurant actually serves on any given day.

For the Scanner Feature, Allergen Information is generated entirely by AI from the menu image or text you provide. No human has reviewed this information. It is an educated guess based on limited data.

5.2 Health and Safety Disclaimer

The Service is not a substitute for professional medical advice, food safety consultation, or direct communication with restaurant staff about ingredients and preparation methods. If you have food allergies or sensitivities, you must always confirm Allergen Information directly with the restaurant before ordering or consuming any food.

No two recipes are exactly alike — ingredients, preparation methods, and cross-contamination risks vary by restaurant, location, chef, supplier, and day. The absence of an allergen warning does not mean a dish is safe for you.

5.3 No Professional Advice

Nothing provided through the Service constitutes medical, nutritional, dietary, or food safety advice. MenuIQ makes no representation or warranty that Allergen Information is accurate, complete, current, or suitable for any particular dietary need or medical condition. Do not use the Service as your sole source of allergen information for making dietary decisions.

5.4 Your Responsibility

If you have food allergies, dietary restrictions, or medical conditions affected by food, you must:

  • Always inform restaurant staff of your specific allergies before ordering

  • Ask detailed questions about ingredients and preparation methods

  • Verify that the restaurant can safely prepare food for your allergies

  • Use your own judgment based on your medical needs and your doctor's advice

  • Never rely solely on the Service for allergen safety decisions

  • Never assume a dish is safe because the Service did not flag an allergen

5.5 Assumption of Risk

By using the allergen detection or Scanner Feature, you expressly acknowledge and agree that you understand the severe limitations of AI-powered allergen identification, that the Service may fail to detect allergens that could cause severe allergic reactions or death, and that you voluntarily assume all risks associated with your food choices and dietary decisions. You are solely responsible for your food safety.

5.6 Limitation of Liability (Consumers)

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENUIQ'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

IN NO EVENT SHALL MENUIQ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO ALLERGIC REACTIONS, ILLNESS, INJURY, DEATH, OR ANY OTHER HEALTH CONSEQUENCES ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE OR ANY ALLERGEN INFORMATION, REGARDLESS OF THE LEGAL THEORY, EVEN IF MENUIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MENUIQ SHALL HAVE NO LIABILITY FOR ALLERGIC REACTIONS, ANAPHYLAXIS, ILLNESS, INJURY, OR DEATH ARISING FROM (A) YOUR RELIANCE ON ALLERGEN INFORMATION PROVIDED THROUGH THE SERVICE, (B) THE SERVICE'S FAILURE TO DETECT ALLERGENS, (C) INACCURATE OR INCOMPLETE ALLERGEN INFORMATION, OR (D) CROSS-CONTAMINATION OR HIDDEN INGREDIENTS NOT DETECTED BY THE SERVICE.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

6. Disclaimer of Warranties (All Users)

THE SERVICE, INCLUDING ALL CONTENT, ALLERGEN INFORMATION, AI OUTPUT, AND RELATED MATERIALS, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MENUIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AND NONINFRINGEMENT.

MENUIQ DOES NOT WARRANT THAT: (A) ALLERGEN INFORMATION WILL BE ACCURATE, COMPLETE, OR FREE FROM ERRORS; (B) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (C) ANY DEFECTS WILL BE CORRECTED; (D) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (E) AI OUTPUT WILL CORRECTLY IDENTIFY ALL ALLERGENS IN ANY DISH.

7. Intellectual Property

7.1 MenuIQ's Intellectual Property

The Service, including all software, AI models, algorithms, designs, text, graphics, logos, and code, is owned by MenuIQ and protected by intellectual property laws. Nothing in these Terms grants you any right to MenuIQ's intellectual property except the limited license to use the Service as described here.

7.2 Restaurant Operator Content

Restaurant Operators retain ownership of their menu content. By uploading content, Restaurant Operator grants MenuIQ a non-exclusive, royalty-free license to use, display, reproduce, and distribute that content through the Service for the duration of the subscription. This license terminates when the subscription ends, except that MenuIQ may retain anonymized or aggregated data derived from menu content to improve the AI system.

7.3 Scanner Feature Content

By uploading menu images through the Scanner Feature, you grant MenuIQ a non-exclusive, royalty-free license to process the image for the purpose of providing AI analysis. MenuIQ's retention and use of uploaded images is governed by our Privacy Policy.

8. Prohibited Uses

You agree not to:

  • Upload false, misleading, or fraudulent menu information

  • Attempt to reverse engineer, decompile, or access the source code of the Service

  • Use automated tools to scrape, harvest, or extract data from the Service

  • Interfere with or disrupt the Service or its infrastructure

  • Use the Service for any unlawful purpose or in violation of any applicable law

  • Resell, redistribute, or commercially exploit the Service without written permission

  • Represent to any third party that AI-generated Allergen Information is verified, guaranteed, or a substitute for direct communication with restaurant staff

9. Dispute Resolution and Arbitration

READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

9.1 Informal Resolution

Before initiating any formal dispute, you agree to contact MenuIQ at support@menuiq.ai and attempt to resolve the dispute informally for at least sixty (60) days.

9.2 Binding Arbitration

For Restaurant Operators: Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. Costs shall be shared: Restaurant Operator pays the filing fee; MenuIQ pays arbitrator fees. The proceedings and any award shall be confidential.

For Consumers: Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the AAA under its Consumer Arbitration Rules. The arbitration may be conducted remotely or in a location mutually agreed upon. MenuIQ shall pay all arbitration filing fees and arbitrator costs for Consumers. You may opt out of this arbitration agreement by sending written notice to MenuIQ within thirty (30) days of first accepting these Terms. Your opt-out notice must include your name, the email address associated with your use of the Service, and a clear statement that you wish to opt out. 9.3 Class Action Waiver

YOU AND MENUIQ AGREE THAT ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. NEITHER YOU NOR MENUIQ MAY BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim. If this class action waiver is found unenforceable, the entire arbitration provision shall be void.

9.4 Exceptions

Either party may bring claims in small claims court if the claim qualifies. Either party may seek injunctive or equitable relief in court to protect intellectual property rights.

9.5 Jury Trial Waiver

For any disputes not subject to arbitration, YOU AND MENUIQ WAIVE ANY RIGHT TO A JURY TRIAL.

10. Termination

10.1 By Restaurant Operator

Restaurant Operators may cancel their subscription at any time through account settings. Cancellation takes effect at the end of the current billing period. Published menus will be taken offline upon cancellation.

10.2 By Consumer

Consumers may stop using the Service at any time. No account deletion is required because Consumers do not create accounts on the restaurant platform.

10.3 By MenuIQ

We may suspend or terminate access to the Service immediately for violation of these Terms, fraudulent activity, non-payment, or at our sole discretion with reasonable notice. Upon termination, all rights granted under these Terms cease immediately.

10.4 Survival

Sections 2, 3.3, 4.2–4.6, 5.1–5.6, 6, 7, 8, 9, and 11 survive termination.

11. General Provisions

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11.2 Jurisdiction

For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

11.3 Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed. The remaining provisions remain in full force and effect.

11.4 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and MenuIQ regarding the Service.

11.5 Amendments

We may update these Terms from time to time. For material changes, we will provide at least thirty (30) days' notice by email (for Restaurant Operators) or by posting notice on the Service. Your continued use after the effective date constitutes acceptance. If you do not agree to updated Terms, you must stop using the Service.

11.6 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any affiliate, successor, or acquirer of our business.

11.7 Force Majeure

MenuIQ is not liable for any failure or delay in performance caused by events beyond our reasonable control.

11.8 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

11.9 Statute of Limitations

Any claim arising from these Terms or the Service must be filed within one (1) year after the claim arose, or it is permanently barred.

11.10 Notices
