CRITICAL SAFETY NOTICE

MenuIQ uses artificial intelligence to identify potential allergens in restaurant menus and to generate a Personal Fit Score. AI-generated allergen information and Fit Scores may be inaccurate, incomplete, or wrong. MenuIQ is not a medical device and is not a substitute for professional medical or dietary advice. If you have food allergies or sensitivities, or are pregnant, you must always confirm information directly with the restaurant before ordering or consuming any food. See Section 5 for complete details.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MenuIQ, LLC, a Delaware limited liability company ("MenuIQ," "we," "us," or "our"). By accessing or using the MenuIQ platform, website, mobile applications, or any related services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not access or use the Service.

If you run a restaurant and use MenuIQ for Restaurants, our Restaurant Operator Terms of Service govern that use instead of these Terms.

Eligibility. You must be at least 13 years old to use the Service. If you are under 18, you may use it only with the involvement of a parent or legal guardian who agrees to these Terms on your behalf. You must be 18 or older to use Pregnancy Mode or buy a subscription.

2. Definitions

"Allergen Information" means any information about potential allergens in food items, whether generated by our AI system, entered or edited by a Restaurant Operator, or displayed to Consumers through the Service.

"AI Output" means any content generated by MenuIQ's artificial intelligence systems, including allergen tags, allergen identification results, menu analysis, translations, dish descriptions (including descriptions MenuIQ writes when a menu has none), explanations of where an allergen likely comes from, and Personal Fit Scores.

"Consumer" means any individual who browses published restaurant menus, uses the Scanner Feature, or otherwise uses the MenuIQ AI App. Consumers do not create accounts on the restaurant platform and do not transact with restaurants through the Service.

"MenuIQ AI App" means our consumer mobile application, which provides restaurant discovery, the Personal Fit Score, menu scanning and translation, pregnancy-related flagging, and related features.

"Personal Fit Score" means a computer-generated estimate of how well a restaurant or menu item may align with the dietary preferences and restrictions a Consumer provides.

"Pregnancy Mode" means an optional setting in the MenuIQ AI App that flags menu items a user may wish to avoid during pregnancy.

"Restaurant Operator" means any business entity or individual that creates an account on the Service to upload, manage, and publish restaurant menu content.

"Scanner Feature" means the MenuIQ AI App feature that allows Consumers to scan, photograph, upload, or link restaurant menus for AI-powered analysis.

"Service" means the MenuIQ platform, website, mobile applications (including the MenuIQ AI App), AI allergen identification and analysis tools, the Personal Fit Score, and all related services.

3. Platform Description and Limitations

MenuIQ is a tool that gathers menu information and presents it in an easier-to-use way, organized around the preferences you choose — much like asking an AI assistant about a menu. Like any AI tool, it can be wrong. It does not know what a restaurant serves today, and it is not a source of truth. Use it as a starting point, and confirm anything that matters to your health with the restaurant.

3.1 What MenuIQ Is

MenuIQ is a digital menu and dining-discovery platform that provides AI-powered tools. The Service operates in two ways:

For restaurants: MenuIQ for Restaurants is covered by our Restaurant Operator Terms of Service.

For diners: MenuIQ shows two kinds of restaurant pages. Restaurant-published menus are menus a restaurant using MenuIQ for Restaurants has reviewed and published. The restaurant provides that menu and its allergen information and is responsible for it; MenuIQ hosts it and does not check it. Independent analysis pages are MenuIQ's own AI analysis of the menu a restaurant publishes elsewhere (for example, on its website) and, where available, of the allergen information the restaurant publishes. Restaurants do not review or approve independent analysis pages, and MenuIQ is not affiliated with them. The MenuIQ AI App also lets you scan and translate any menu and see a Personal Fit Score. All of it is for information only.

3.2 What MenuIQ Is Not

MenuIQ is not an ordering platform, a delivery service, a food safety inspector, a medical device, or a healthcare provider. MenuIQ does not prepare, serve, or sell food. MenuIQ does not verify, endorse, or guarantee the accuracy of any menu content, Allergen Information, or Personal Fit Score. MenuIQ does not provide medical, nutritional, dietary, or food safety advice.

3.3 AI Limitations — All Users

MenuIQ's AI system analyzes menu text and images to identify potential allergens and to generate Personal Fit Scores, translations, and dish descriptions. This technology is inherently limited. AI Output:

  • May contain errors, omissions, or inaccuracies

  • May fail to identify allergens present in a dish (false negatives)

  • May incorrectly flag allergens that are not present (false positives)

  • Cannot detect cross-contamination from shared cooking equipment or kitchen environments

  • Cannot detect hidden or unlisted ingredients

  • Cannot account for variations in how restaurants prepare dishes

  • Cannot verify whether menu descriptions match what a restaurant actually serves

  • Relies on incomplete data, since menus routinely omit ingredients, cooking methods, and preparation details

No two recipes are exactly alike. Ingredients, preparation methods, and cross-contamination risks vary by restaurant, location, chef, supplier, and day. AI cannot account for these variations.

AI Output — including any Personal Fit Score — is a starting point, never a definitive or exhaustive statement of what a dish contains or does not contain, and never a substitute for professional advice. You should not rely on AI Output as a sole source of truth or factual information. AI Output does not represent MenuIQ's advice, opinion, or endorsement.

4. Restaurants

Restaurants that use MenuIQ for Restaurants are governed by our Restaurant Operator Terms of Service.

5. Consumer Use of the Service

5.1 AI-Generated Information Disclaimer

All Allergen Information and AI Output provided through the Service — whether on published restaurant menu pages, through the Scanner Feature, or as part of a Personal Fit Score — is generated or processed by artificial intelligence and may be inaccurate, incomplete, or outdated. This information is intended as a helpful starting point for a conversation with your server or the restaurant, not as a definitive or exhaustive statement of what a dish contains or does not contain.

Any reliance on Allergen Information or AI Output — including AI-generated allergen tags, dietary labels, Personal Fit Scores, translations, and Scanner results — is at your own risk. This information comes from automated analysis of menus and allergen information that restaurants publish and, for restaurant-published menus, from the restaurant itself. MenuIQ does not guarantee its accuracy or completeness. For the Scanner Feature, Allergen Information is generated entirely by AI from the menu image, text, or link you provide; no human has reviewed it; it is an educated guess based on limited data.

To the fullest extent permitted by applicable law, you release MenuIQ and its members, managers, officers, employees, and agents from all liability — including liability for negligence — for any action you take, or decline to take, in reliance on Allergen Information, AI Output, or a Personal Fit Score, including any decision to order or consume any food. This release does not extend to gross negligence, willful misconduct, fraud, or any liability that cannot be released under applicable law.

5.2 Personal Fit Score

The Personal Fit Score is a computer-generated estimate of how well a restaurant or menu item may align with the dietary preferences and restrictions you provide, given the data available to us at the time. It is a transparent starting point to help you explore options. It is not medical, nutritional, dietary, or allergen-safety advice, is not a guarantee, and cannot be used in place of confirming ingredients, preparation methods, and cross-contamination risks directly with the restaurant.

The Score is generated by automated models using the preferences and restrictions you provide (including any allergen, dietary, wellness, or Pregnancy Mode settings) together with restaurant- and menu-provided data and allergen/dietary tags. This information may be incomplete, outdated, or inaccurate — recipes, ingredients, and kitchen practices change without being reflected in the Score, and the Score does not detect unlisted ingredients or cross-contamination. The Score reflects a possible match based on available data; it is intended to inform your choice, not to make it for you.

You should not rely on the Personal Fit Score alone, particularly if you have a food allergy, intolerance, medical dietary requirement, or are pregnant. Always confirm with restaurant staff and review full ingredient information before ordering. A high Score does not mean a dish is safe for you, and the absence of a warning does not mean an allergen is absent.

5.3 Health and Safety Disclaimer

The Service is not a substitute for professional medical advice, food safety consultation, or direct communication with restaurant staff about ingredients and preparation methods. If you have food allergies or sensitivities, or are pregnant, you must always confirm Allergen Information directly with the restaurant before ordering or consuming any food.

No two recipes are exactly alike — ingredients, preparation methods, and cross-contamination risks vary by restaurant, location, chef, supplier, and day. The absence of an allergen warning does not mean a dish is safe for you.

5.4 No Professional Advice

Nothing provided through the Service constitutes medical, nutritional, dietary, or food safety advice. MenuIQ makes no representation or warranty that Allergen Information or any Personal Fit Score is accurate, complete, current, or suitable for any particular dietary need or medical condition. Do not use the Service as your sole source of allergen information for making dietary decisions.

5.5 Your Responsibility

If you have food allergies, dietary restrictions, are pregnant, or have medical conditions affected by food, you must:

  • Always inform restaurant staff of your specific allergies or restrictions before ordering;

  • Ask detailed questions about ingredients and preparation methods;

  • Verify that the restaurant can safely prepare food for your needs;

  • Use your own judgment based on your medical needs and your doctor's advice;

  • Never rely solely on the Service for allergen safety decisions;

  • Never assume a dish is safe because the Service did not flag an allergen or gave a high Personal Fit Score.

5.6 Assumption of Risk

By using the allergen detection, Scanner Feature, or Personal Fit Score, you expressly acknowledge and agree that you understand the severe limitations of AI-powered allergen identification and scoring, that the Service may fail to detect allergens that could cause severe allergic reactions or death, and that you voluntarily assume all risks associated with your food choices and dietary decisions. You are solely responsible for your food safety.

5.7 Limitation of Liability (Consumers)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) MENUIQ'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100); AND (b) MENUIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF DATA OR GOODWILL, REGARDLESS OF LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING SECTION 5.6, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MENUIQ SHALL NOT BE LIABLE FOR ANY ALLERGIC REACTION, ANAPHYLAXIS, ILLNESS, INJURY, DEATH, OR OTHER HEALTH CONSEQUENCE ARISING FROM (A) YOUR RELIANCE ON ALLERGEN INFORMATION, AI OUTPUT, OR A PERSONAL FIT SCORE; (B) THE SERVICE'S FAILURE TO DETECT ANY ALLERGEN; (C) INACCURATE OR INCOMPLETE ALLERGEN INFORMATION OR SCORING; OR (D) CROSS-CONTAMINATION OR INGREDIENTS NOT DETECTED BY THE SERVICE.

Exclusions. Nothing in these Terms excludes or limits MenuIQ's liability for (i) gross negligence or willful misconduct, (ii) fraud, (iii) death or personal injury to the extent such liability cannot be excluded or limited under applicable law (including, for California residents, California Civil Code Section 1668), or (iv) any other liability that cannot be excluded or limited by law. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. New Jersey residents: the limitations in this Section apply to you only to the extent permitted by New Jersey law.

5.8 Subscriptions and Billing (MenuIQ AI App)

Paid plans. The MenuIQ AI App offers optional paid plans that unlock map access, menu scans, and additional dietary-preference features. The current price, billing period, and inclusions for each plan are shown at the point of purchase. Prices may vary by platform or region and are exclusive of applicable taxes.

Auto-renewal. Subscriptions renew automatically at the then-current price for the same billing period until you cancel. We (through our payment processor) charge your payment method at the start of each period. You can cancel at any time; cancellation takes effect at the end of the current paid period, and you keep access until then.

How to cancel.

  • Web purchases (Stripe): manage or cancel at any time from your account's billing settings ("Manage Subscription"), which opens our secure billing portal.

  • Apple App Store purchases: manage or cancel through your Apple ID subscription settings; these are governed by Apple's terms and must be cancelled through Apple. Deleting the app does not cancel a subscription.

Free trial. MenuIQ offers a free trial on eligible plans; the trial length is shown at the point of purchase. You will not be charged until the trial ends. If you do not cancel before the trial ends, you will be charged for the first billing period automatically. Any unused portion of a free trial is forfeited when you purchase a subscription.

Refunds. Except where required by applicable law, subscription fees are non-refundable, and cancelling stops future renewals but does not refund the current period. If you live in the EU, EEA, or UK, you may have a legal right to withdraw from a purchase within 14 days; we will honor any refund rights the law gives you. Purchases made through the Apple App Store are subject to Apple's refund policies and must be requested through Apple, not MenuIQ.

Scan packs. Scan packs are one-time purchases of scan credits. Unused credits don't expire while your account is open, have no cash value, can't be transferred, and are non-refundable except where required by law or, for App Store purchases, under Apple's refund policies.

Referral credits. Credits earned through referrals have no cash value and can't be transferred. We may change or end the referral program at any time and may remove credits obtained through misuse.

Free scans and map trial. New accounts may include a limited number of free scans and a time-limited map trial, as shown in the app. These end on their own and don't turn into a paid plan. After that, continued access requires a plan or scan pack.

Price changes. We may change subscription prices. We will give advance notice, and the new price applies to your next renewal; continuing your subscription after the change takes effect constitutes acceptance of the new price.

Payment processors. Web payments are processed by Stripe; iOS in-app purchases are processed by Apple and managed via RevenueCat. By subscribing, you also agree to the applicable processor's terms. See our Privacy Policy for what data each receives.

5.9 Independent Restaurant Pages

Restaurant names are used only to identify the restaurant; MenuIQ is not affiliated with, endorsed by, or sponsored by any restaurant shown on an independent analysis page. These pages are based on the menu the restaurant publishes and, when available, its own allergen information, and show when MenuIQ last checked them. Menus, recipes, and suppliers change and can differ by location, so a page may be out of date. If we have a restaurant's own allergen guide and haven't yet reviewed our tags against it, we may pause allergen and dietary details on its pages until we do. Where a restaurant publishes its own allergen information, that information controls: if it differs from MenuIQ's analysis, follow the restaurant's information. Restaurants may ask us to correct or remove a page through our Contact page (menuiq.ai/contact) or by emailing [email protected]; we may ask for proof that you represent the restaurant, and we decide whether to correct, update, or remove the page.

5.10 Lists, Shares, and Your Profile

Some features let you make content public — such as public lists, shared menus, your display name, handle, profile photo, profile badges, recommendations, and notes. Lists are private unless you make them public, and profile badges appear only if you choose to show them. Public content can be seen by anyone who has the link or views your profile, including people without a MenuIQ account. We ask search engines not to index profiles, lists, and shared menus, but we can't control copies others make. You keep ownership of your content and grant MenuIQ a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, and display it to operate the Service, until you delete it. You are responsible for what you post: share your honest opinions, don't state things about restaurants or people as fact unless they're true, and don't post anyone else's personal or health information. Profile badges and anything else you make public can reveal health information about you (for example, an allergy or pregnancy), so add only what you're comfortable sharing. We may remove content or suspend accounts that break these Terms. Report content through our Contact page or to [email protected]. To report copyright infringement, email [email protected] with "Copyright" in the subject and include the information required by 17 U.S.C. § 512(c)(3).

5.11 Free Access and Limits

Some features are free with limits. We may set and change these limits, and what is included in free and paid plans.

6. Disclaimer of Warranties (All Users)

THE SERVICE, INCLUDING ALL CONTENT, ALLERGEN INFORMATION, AI OUTPUT, PERSONAL FIT SCORES, TRANSLATIONS, AND RELATED MATERIALS, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MENUIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AND NONINFRINGEMENT.

MENUIQ DOES NOT WARRANT THAT: (A) ALLERGEN INFORMATION OR ANY PERSONAL FIT SCORE WILL BE ACCURATE, COMPLETE, OR FREE FROM ERRORS; (B) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (C) ANY DEFECTS WILL BE CORRECTED; (D) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (E) AI OUTPUT WILL CORRECTLY IDENTIFY ALL ALLERGENS IN ANY DISH.

7. Intellectual Property

7.1 MenuIQ's Intellectual Property

The Service, including all software, AI models, algorithms, designs, text, graphics, logos, and code, is owned by MenuIQ and protected by intellectual property laws. Nothing in these Terms grants you any right to MenuIQ's intellectual property except the limited license to use the Service as described here.

7.2 Scanner Feature and User Content

By uploading menu images, photos, links, or other content through the Scanner Feature or MenuIQ AI App, you grant MenuIQ a non-exclusive, royalty-free license to process that content for the purpose of providing AI analysis, translation, and the Personal Fit Score. MenuIQ's retention and use of uploaded content is governed by our Privacy Policy.

8. Prohibited Uses

You agree not to:

  • Upload false, misleading, or fraudulent menu information;

  • Attempt to reverse engineer, decompile, or access the source code of the Service;

  • Use automated tools to scrape, harvest, or extract data from the Service;

  • Interfere with or disrupt the Service or its infrastructure;

  • Use the Service for any unlawful purpose or in violation of any applicable law;

  • Resell, redistribute, or commercially exploit the Service without written permission;

  • Represent to any third party that AI Output, Allergen Information, or a Personal Fit Score is verified, guaranteed, or a substitute for direct communication with restaurant staff.

9. Dispute Resolution and Arbitration

READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

9.1 Informal Resolution

Before initiating any formal dispute, you agree to contact MenuIQ at [email protected] and attempt to resolve the dispute informally for at least sixty (60) days. All statutes of limitations and the time limit in Section 11.8 are paused during this informal resolution period.

9.2 Binding Arbitration

This Section 9 is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16.

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the AAA under its Consumer Arbitration Rules. The arbitration may be conducted remotely or in a location mutually agreed upon. MenuIQ shall pay all arbitration filing fees and arbitrator costs for Consumers. You may opt out of this arbitration agreement by sending written notice to MenuIQ within thirty (30) days of first accepting these Terms. Your opt-out notice must include your name, the email address associated with your use of the Service, and a clear statement that you wish to opt out. If twenty-five (25) or more similar arbitration demands are filed by or with the assistance of the same or coordinated counsel, they will be administered in batches under the AAA's Mass Arbitration Supplementary Rules (or successor procedures).

9.3 Class Action Waiver

YOU AND MENUIQ AGREE THAT ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. NEITHER YOU NOR MENUIQ MAY BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party's individual claim; provided that, to the extent a claim for public injunctive relief cannot be waived under applicable law, such claim shall be decided by a court after arbitration of all arbitrable claims. If the prohibition on class or consolidated arbitration is held unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court, and this arbitration provision remains in effect for all other claims.

9.4 Exceptions

Either party may bring claims in small claims court if the claim qualifies. Either party may seek injunctive or equitable relief in court to protect intellectual property rights.

9.5 Jury Trial Waiver

For any disputes not subject to arbitration, YOU AND MENUIQ WAIVE ANY RIGHT TO A JURY TRIAL.

10. Termination

10.1 By Consumer

Consumers may stop using the Service at any time. Where a Consumer has created a MenuIQ AI App account, they may delete it and the associated data as described in the Privacy Policy.

10.2 By MenuIQ

We may suspend or terminate access to the Service immediately for violation of these Terms, fraudulent activity, non-payment, or at our sole discretion with reasonable notice. Upon termination, all rights granted under these Terms cease immediately.

10.3 Survival

Sections 2, 3.2, 3.3, 5.1–5.7, 5.9–5.10, 6, 7, 8, 9, and 11 survive termination.

11. General Provisions

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

11.2 Jurisdiction

For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware, except that small-claims cases may be brought in the small claims court where you live.

11.3 Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed. The remaining provisions remain in full force and effect.

11.4 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and MenuIQ regarding the Service.

11.5 Amendments

We may update these Terms from time to time. For material changes, we will provide at least thirty (30) days' notice by email if we have your email address or by posting notice on the Service. Your continued use after the effective date constitutes acceptance. If you do not agree to updated Terms, you must stop using the Service.

11.6 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any affiliate, successor, or acquirer of our business.

11.7 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

11.8 Statute of Limitations

Except for claims for personal injury or wrongful death, and claims under laws that do not allow a shorter limitations period, any claim arising from these Terms or the Service must be filed within one (1) year after it arises.
